Litigating matters under the supervision of the Chief Litigation Counsel, with responsibility for management, coordination, and strategy of portions of the Company’s product liability litigation, consumer class actions and general commercial litigation, as well as the evaluation and resolution of pre-litigation demands.

Responsibilities:

  • Conducting comprehensive case analysis and research to assess litigation matters and threats, enabling strategic decision-making that aligns with organizational objectives
  • Coordinating communications between outside counsel and the Company’s in-house legal organization and Company senior management and employees
  • Participating in the preparation or depositions of corporate representatives and current/former Company employees
  • Overseeing the Company’s relationships with its retained experts and third party vendors for Litigation matters
  • Collecting and reviewing documents as part of the Company’s litigation risk assessment
  • Liaising with opposing counsel on litigation matters, including settlement negotiations
  • Coordinating the Company’s response, along with Consumer Affairs, to significant consumer product complaints
  • Attending court conferences and hearings as needed
  • Drafting or overseeing the drafting of legal documents, briefs, and pleadings, and representing the company in court or other settings, articulating legal strategies and positions persuasively
  • Assisting with the preparation of discovery responses
  • Counseling the business and assisting with risk assessments relating to marketing and advertising campaigns
  • Minimizing legal exposure through training, counseling, and pre-litigation risk mitigation measures
  • Conducting legal research
  • Using tools and technology to ensure compliance with records retention and discovery obligations
  • Overseeing and managing budgets for litigation matters
  • Using data to drive informed decision-making

Required Qualifications:

  • Bachelors Degree
  • Juris Doctor
  • 6+ years of litigation experience, within a law firm or in-house
  • Experience with product liability litigation, marketing and false advertising class action litigation, and/or general commercial litigation

Ìý

Preferred Qualifications:

  • Experience with intellectual property litigation and/or conducting internal investigations, and prior in-house experience
  • Strong analytical, communication, negotiation, critical thinking, decision making and legal writing skills as well as very strong litigation skills
  • Proactively enhance technical expertise by attending external training and reading current legal materials
  • Process-oriented with strong organizational skills while also being flexible to changing needs


Compensation and Benefits
Salary Range $151,200.00 - $213,000.00 USD

Pay is determined based on experience, qualifications, and location. Salaried employees may also be eligible for discretionary bonuses, profit-sharing, and long-term incentives for Executive-level roles.

We are looking to bring on an Associate Legal Counsel to join our Hill's Pet Nutrition Legal team!

Ìý

Responsibilities:Ìý

  • Partner with ºìÌÒÊÓÆµ-Palmolive attorneys and/or outside counsel for review and advice on Digital and Ecommerce Projects, including regulatory, contractual and commercial aspects.Ìý
  • Work with the digital business teams on the development of critical commercial strategies, managing legal risk and ensuring regulatory compliance.
  • Provide advice on all aspects of compliance and data privacy to the business under the guidance of the Chief Compliance Counsel.
  • Advise clients and progress contract matters from initial meeting through advice, contract drafting, negotiation and final conclusion including commercial contracts, licensing agreements, SaaS agreements and other agreements.
  • Provide autonomous advice, guidance and counsel to the internal business clients regarding the appropriate legal framework and contractual embodiment of that framework for relationships between Hill's and its third party suppliers.
  • Liaise with Hill’s attorneys on Intercompany Administrative Services, Distribution, Sales, Line of Credit/Loan, Agreements, etc.
  • Establish, maintain and enhance contract templates and contracting processes in coordination with Contract Center of Excellence and various internal stakeholders
  • Serve as Hill's administrator for the company's global contract lifecycle management (CLM) tool, identify opportunities to improve efficiency within the CLM process, and execute customization of Hill's workflows as needed
  • Partner with Customer Experience and Consumer Affairs teams to manage legal risk and ensure regulatory compliance in implementation of business strategies.
  • Draft legal letters and resolve demands involving relevant ºìÌÒÊÓÆµ-Palmolive and Hill's stakeholders.
  • Counseling teams on technical and regulatory issues.
  • Perform legal research and prepare summaries and advice based on research.
  • Provide general legal advice to business teams as assigned.

Required Qualifications:

  • Bachelor’s degree + JD from an ABA Accredited Law School

  • Admission to US bar and ability to be admitted to Kansas bar

  • 3+ years experience practicing law

  • Experienced in performing legal research and proficient with legal database tools (i.e., Pacer, Westlaw, Bloomberg)

  • Proven ability to organize, manage and interpret a high volume of legal information and work autonomously

  • Strong contract drafting skills

Preferred Qualifications:

  • 3 years or more prior work experience practicing law in a corporate law department working with senior counsel and senior business leaders

  • Undergraduate degree in business

  • MBA

  • Proficiency in word processing and cloud based office productivity software (eg Gmail, Google Drive, etc.)

The Commercial Counsel is responsible for drafting and negotiating a wide range of global agreements with suppliers and service providers of all types in partnership with Procurement professionals and end users and in accordance with applicable ºìÌÒÊÓÆµ guidelines / policies under the direct supervision of the Chief Commercial Transactions Counsel. You will provide day-to-day commercial legal advice and counsel to the Global Procurement Organization as well as other functions/divisions and look for ways to bring in contracting work currently handled by outside counsel or temporary support.

You will play a role as a member of the ºìÌÒÊÓÆµ-Palmolive Global Contracts Center of Excellence (COE). The Contracts COE is a key part of the broader Procurement and Legal efforts to drive global digital transformation and contracting efficiency, aiming to standardize and streamline how the company manages its contracting tools and processes across a complex global landscape. ​Y​ou will support creation and maintenance of contract templates and playbooks, and will serve as an admin for ºìÌÒÊÓÆµâ€™s contract management system. The Commercial Counsel will also serve as an escalation point for CBS contract managers.

Responsibilities:

  • Draft and negotiate agreements with suppliers and service providers of all types, including materials and packaging supply agreements, master services agreements, statements of work, contract manufacturing agreements, agency agreements, software licenses, warehousing agreements, and transportation agreements.
  • Be part of ensuring the success and continuing evolution and expansion of the Contracts COE, including providing advice to and serving as an escalation point for the CBS Mexico Contract Management Team.
  • Develop and maintain expertise in ºìÌÒÊÓÆµâ€™s CLM system (Ironclad) and serve as a system admin.
  • Continuously identify opportunities to improve efficiency and standardization of contracting workflows globally.
  • Assist in driving execution of digital contracting solutions and improved workflow processes.
  • Evaluate and update existing contract templates and playbooks, and develop new templates and playbook clauses, as needed.
  • Work closely and build strong relationships with Procurement and other functions in order to ensure contracts support the achievement of business objectives.
  • Develop and support training for the Procurement Organization regarding day-to-day legal questions, contract policies, and best practices.
  • Develop and deliver training for GLO lawyers/paralegals in the commercial contracting space.
